General Terms
These General Terms and Conditions apply to all orders placed by customers via our e-commerce webshop, all offers, invoices, agreements, and all other actions between BM-Ceramics, a department of Breugelmans bv with its registered office at Sluizenstraat 147 – 8450 Bredene – Belgium – VAT BE 0538.922.496 – VAT GB 471562976, in**@*********ns.be, and its clients, both individual consumers (B2C) and business customers (B2B), within the European Union and the United Kingdom. BM-Ceramics specializes in the e-commerce sale of handmade ceramics. By placing an order, you agree to these terms and conditions.
1.1 By placing an order with BM-Ceramics, the client acknowledges having read and agreed to these General Terms and Conditions, to the exclusion of any general conditions of the client.
1.2 Deviations from these General Terms and Conditions are only possible if explicitly agreed upon in writing between the client and BM-Ceramics in advance.
2.1 All products offered on the Website are handmade and may have slight variations and imperfections, which are inherent characteristics of handcrafted items.
2.2 We make every effort to display the colors and images of our products accurately. However, we cannot guarantee that your computer monitor’s display of any color will be accurate.
3.1 Offers and price quotes by BM-Ceramics remain valid for 14 days, unless otherwise specified. Invoicing is based on the offer and/or agreement and any additional ordered or performed extra work.
3.2 Price quotes may be subject to changes due to unforeseen changes in the work.
3.3 All offers and price quotes by BM-Ceramics are entirely without obligation.
3.4 A composite price quote does not obligate BM-Ceramics to perform a part of the assignment for a corresponding part of the quoted price, unless explicitly agreed by the client and BM-Ceramics.
3.5 The client acknowledges email communication as legally valid evidence.
3.6 The offer/agreement will be executed upon receipt of the advance payment, namely 50% of the total amount mentioned in the signed offer/agreement, unless otherwise agreed by the client and BM-Ceramics.. If no or another agreed advance payment is agreed upon, this will be clearly stated in the offer.
4.1 If the client is an individual consumer (B2C), they have the right to withdraw from the agreement within 14 days after the conclusion of the agreement. The withdrawal period starts the day following the conclusion of the agreement. The withdrawal must be communicated in writing via email to in**@***************co.uk. If BM-Ceramics has provided services at the client’s request, these must be compensated.
4.2 If the client cancels the assignment, BM Ceramics will always invoice the already completed work and all other already purchased services and products.
4.3 If the client has paid 50% of the advance and BM Ceramics has performed more work than the paid 50%, the amount can be claimed as compensation for the already performed work.
4.4 Termination will result in the immediate cessation of all work by Echo Designs and the immediate collectability of all invoices.
4.5 Custom-made orders are non-returnable.
4.6 Returned items must be in their original condition and packaging. You are responsible for the cost of returning the items.
4.7 Once we receive and inspect the returned items, we will process your refund within 7 working days. Refunds will be issued to the original payment method.
5.1 BM-Ceramics will execute the agreement to the best of its knowledge and ability and in accordance with the requirements of good craftmanship.
6.1 Our prices are quoted in British Pounds (£) and always include VAT. For B2B clients with a valid VAT number outside Belgium, VAT is reverse charged.
6.2 Payment for standard products must be made at the time of purchase through the available payment methods on our website.
6.3 For custom-made orders, an invoice will be issued. Unless otherwise agreed, BM-Ceramics’ invoices are payable within 8 days. Disputes must be communicated by mail to BM-Ceramics within seven working days after the invoice is sent. A dispute cannot justify a delay or suspension of payment.
6.4 All invoices are payable on their due date by transfer to BM-Ceramics’ account number. Allowed discounts expire if the general sales conditions are not respected.
5.5 If the client does not proceed to payment within 8 days after receiving a reminder from BM-Ceramics, the client owes BM-Ceramics a late payment interest of 12% per year. A flat-rate compensation of 10% of the invoice amount with a minimum of 50 GBP will also be charged. The interest due is calculated from the date of reminder until full payment. Furthermore, BM-Ceramics reserves the right to suspend further performance of its obligations until the client has paid the overdue invoices. Any delay in payment by the client makes all due amounts immediately payable. In that case, the client may not use the creations made by BM-Ceramics.
6.6 BM-Ceramics is entitled to terminate the agreement with immediate effect in whole or in part and whether or not temporarily if the client does not fully or partially fulfill one or more of their obligations under this agreement (such as non-payment of the invoice) without the client being entitled to a refund of advance payments or compensation. BM-Ceramics will in any case inform the client of this. Furthermore, BM-Ceramics is entitled to terminate the agreement without further notice and with immediate effect if the client is declared bankrupt, the client has requested or accepted a judicial agreement, or more generally, the client is in a state of cessation of payment.
7.1 For individual customers (B2C) in the UK, shipments are always delivered under Incoterms DDP (Delivered Duty Paid). This means that BM-Ceramics is responsible for all costs associated with delivering the goods to the client’s door, including shipping fees, duties, and taxes. The client will not incur any additional charges upon receiving their order. A certificate of origin (EU-made) is also provided.
7.2 Business costumers (B2B): For orders shipped outside Belgium, you may be subject to import duties and taxes, which are levied once the package reaches your destination. These additional charges for customs clearance must be borne by you. A certificate of origin (EU-made) is provided.
7.3 Delivery times may vary depending on the destination and the specific circumstances of each order. BM-Ceramics will provide an estimated delivery date at the time of order confirmation.
7.4 Shipments can be delivered to a specified address or an available pickup point. During the checkout process, customers will be presented with delivery options, and they can choose their preferred method.
7.5 Shipping costs will be BM-Ceramics strives to provide accurate delivery estimates and will notify customers of any significant changes to the estimated delivery times.
7.6 BM-Ceramics is not responsible for any delays caused by customs or other regulatory procedures in the destination country. Customers will be notified if there are any issues affecting the delivery of their order.
8.1 We warrant that the products supplied by us are free from defects in material and workmanship at the time of delivery.
8.2 Our liability for any defective product is limited to the purchase price of that product. We are not liable for any indirect, incidental, or consequential damages arising from the use of our products.
9.1 We respect your privacy and are committed to protecting your personal data. Our Privacy Policy, available on the Website, explains how we collect, use, and protect your personal information.
9.2 We treat your data as confidential information and will never pass it on to third parties. You can request, correct, modify, or delete the data BM-Ceramics holds at any time. Any request, modification, or deletion can be communicated via email. The most current version of the Privacy Policy can always be found on our website.
10.1 All content on the Website, including but not limited to text, images, graphics, and logos, is the property of BREUGELMANS BV or its content suppliers and is protected by intellectual property laws.
10.2 You may not reproduce, distribute, or use any content from the Website without our prior written consent.
11.1 We reserve the right to amend these Terms and Conditions at any time. The latest version will be posted on the Website, and it is your responsibility to review these Terms and Conditions periodically.
12.1 These General Terms and Conditions and any agreement to which these terms apply are governed by Belgian law. The courts of the judicial district where BREUGELMANS BV registered office is located have exclusive jurisdiction to hear any dispute regarding the validity, application, interpretation, and execution of the General Terms and Conditions and any agreement to which these terms apply.
